Terms of Service

1. Agreement to Terms

These Terms of Service govern your access to and use of StyleRef, a web-based platform that enables users to create, manage, and refine style reference materials. StyleRef is provided by [Company Name] ("StyleRef," "we," "us," or "our"). By accessing or using StyleRef, whether as an individual user or on behalf of an organization, you agree to be bound by these Terms.

If you are using StyleRef on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and all references to "you" or "your" shall refer to both you as an individual and the organization you represent. Organizations may enter into separate Enterprise Agreements that modify or supersede portions of these Terms as specified in such agreements.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email to your registered account address and through prominent notice within the StyleRef platform at least thirty days before such changes take effect. Your continued use of StyleRef after the effective date of modified Terms constitutes your acceptance of those changes. If you do not agree to modified Terms, you must discontinue use of the service before the effective date.

2. Description of Service

StyleRef provides tools for creating and managing style reference materials through interactive Style Boards. The platform enables you to define visual, tonal, and structural style parameters, extract style elements from source materials using artificial intelligence, manually edit and refine style definitions, and generate structured StyleRefs in formats including Markdown, XML, and JSON for use in external tools and workflows.

StyleRef is a reference creation tool, not a content generation platform. We do not generate final creative outputs such as images, written documents, designs, or other AI-generated content. The StyleRefs and Style Cards produced through our service are reference materials intended to guide your creative work in third-party tools and AI platforms. We do not control, influence, or take responsibility for content generated by external AI systems when you use StyleRefs created through StyleRef.

The service operates on a tiered subscription model with different plans offering varying levels of functionality, storage capacity, and AI extraction usage limits. Current plan details and limitations are available on our website and within the platform. We may adjust plan features and limits with at least sixty days notice to active subscribers.

3. Account Registration and Access

To access StyleRef features, you may create an account using email-based authentication through magic links. We do not store passwords. You are responsible for maintaining the security and confidentiality of your account access and for all activities that occur under your account, whether authorized by you or not.

You agree to immediately notify us of any unauthorized access to your account or any other security breach. You will not share your account credentials or allow others to access your account except as explicitly permitted by these Terms or an Enterprise Agreement.

We offer anonymous session functionality that permits limited use of the platform without creating a permanent account. Data created during anonymous sessions may be migrated to a permanent account upon registration, subject to technical limitations and plan restrictions. Anonymous session data may be automatically deleted after a period of inactivity.

You must be at least eighteen years of age to create an account and use StyleRef. You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of this information. Providing false information or impersonating another person or entity constitutes grounds for immediate account termination.

For enterprise or organizational accounts, the organization is responsible for managing user access, ensuring that individual users have appropriate authorization to use the service on the organization's behalf, and monitoring compliance with these Terms and any applicable Enterprise Agreement.

4. Intellectual Property Ownership and Rights

Your Content Ownership

You retain all ownership rights, title, and interest in and to all content you submit, upload, or create using StyleRef, including but not limited to text descriptions, images, source materials, URLs, style parameters, and Style Board configurations (collectively, "User Content"). These Terms do not transfer any ownership of your User Content to StyleRef.

License Grant to StyleRef

By submitting User Content to StyleRef, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, store, modify, display, and transmit your User Content solely to the extent necessary to provide the StyleRef service to you. This license includes the right to make technical reproductions for backup and system reliability purposes, perform format conversions and technical processing required for service functionality, generate derivative representations such as Style Cards and visual previews, transmit your User Content to third-party AI service providers when you use extraction features as described in Section 5, and make temporary cached copies to improve service performance.

This license expressly does not permit StyleRef to use your User Content for training artificial intelligence models owned, operated, or controlled by StyleRef, incorporate your User Content into products or services offered to other customers, share your User Content with third parties except as explicitly described in these Terms and our Privacy Policy, use your User Content for marketing, promotional, or demonstration purposes without your separate written consent, or analyze your User Content to develop competitive intelligence, benchmarks, or insights that benefit other users or third parties.

This license terminates when you delete your User Content or close your account. Following termination, we will cease active use of your User Content and will remove it from production systems within thirty business days. User Content may persist in backup and disaster recovery systems for up to ninety days following deletion to ensure system integrity, after which it will be permanently destroyed. User Content subject to legal holds, regulatory preservation requirements, or active dispute resolution will be retained only as long as legally required.

Outputs Created Using StyleRef

You retain complete ownership of all content, materials, and works you create using StyleRefs generated by StyleRef, including content created in third-party AI platforms and tools (collectively, "Downstream Outputs"). StyleRef makes no claim of ownership, license, or any other right in Downstream Outputs. The structure, format, and methodology of StyleRefs generated by StyleRef are licensed to you for your unlimited commercial and non-commercial use without restriction or obligation to StyleRef.

For clarity, if you use a StyleRef created in StyleRef to generate images, text, designs, or other content in ChatGPT, Claude, Midjourney, or any other third-party platform, you own those outputs subject only to the terms of service of the third-party platform used to create them. StyleRef has no ownership interest in such outputs and will not assert any intellectual property claims based on the use of StyleRefs or StyleRef methodologies.

StyleRef Platform Ownership

StyleRef and all associated intellectual property, including but not limited to software code, algorithms, user interface design, trademarks, service marks, logos, documentation, and trade secrets, remain the exclusive property of StyleRef and our licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the StyleRef platform in accordance with these Terms. This right terminates immediately upon termination of your account or violation of these Terms.

You may not copy, modify, reverse engineer, decompile, disassemble, or create derivative works based on StyleRef except to the extent such restrictions are prohibited by applicable law. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices displayed on or through StyleRef.

Third-Party Materials and Rights Verification

You represent and warrant that you have all necessary rights, licenses, and permissions to submit User Content to StyleRef and to grant the licenses described in these Terms. You represent and warrant that your User Content does not infringe or violate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party.

When using AI extraction features with images, documents, or other materials created by third parties, you are responsible for ensuring you have appropriate rights to analyze such materials. StyleRef does not verify rights ownership and assumes no responsibility for rights violations arising from User Content you submit.

5. AI Extraction and Third-Party Service Providers

Use of Third-Party AI Providers

StyleRef uses third-party artificial intelligence service providers to analyze source materials and extract style parameters when you use AI extraction features. When you initiate AI extraction, your submitted User Content is transmitted to one or more of these providers for processing. The current AI service providers used by StyleRef are listed on our website and within the platform settings.

Each third-party AI provider operates under its own terms of service and privacy policy, which govern how that provider processes your User Content during extraction. You acknowledge that your use of AI extraction features subjects your User Content to processing by third-party providers in accordance with their respective policies.

AI Provider Standards and Safeguards

StyleRef selects AI service providers based on rigorous security and data protection standards. All AI providers used by StyleRef must maintain SOC 2 Type II certification or equivalent security certification, comply with applicable data protection regulations including GDPR and CCPA, enter into data processing agreements with StyleRef that include confidentiality obligations and data protection requirements, agree to process User Content only for the purpose of providing extraction services and not for training their own models or for any other purpose, and implement technical and organizational measures to protect User Content against unauthorized access and disclosure.

We maintain current copies of security certifications and data processing agreements with all AI providers. Enterprise customers may request copies of these documents for their review.

Changes to AI Providers

We reserve the right to add, remove, or change AI service providers to improve service quality, maintain security standards, or respond to technical requirements. We will provide at least sixty days advance notice before adding new AI providers or changing existing providers. Notice will be provided by email and through prominent notice within the platform.

Enterprise customers with active Enterprise Agreements may designate approved AI providers and may opt out of AI extraction functionality if a proposed provider change does not meet their security requirements. Such opt-out requests must be submitted within thirty days of notice. Individual users may discontinue use of AI extraction features at any time but cannot selectively approve or reject specific providers.

User-Provided API Keys

StyleRef may offer functionality that allows you to provide your own API keys for third-party AI services. When you use this functionality, your use of the third-party service is governed solely by that provider's terms of service. You are responsible for all costs, usage limits, billing arrangements, and compliance obligations associated with your use of third-party services through user-provided API keys.

StyleRef does not control, guarantee, or take responsibility for the availability, performance, security, or data handling practices of third-party services accessed through user-provided API keys. We do not store or access your API keys except as necessary to facilitate your requested operations, and we implement security measures to protect stored credentials.

No Warranties on AI Extraction

AI extraction is an interpretive process that analyzes source materials to identify style patterns, elements, and characteristics. Results are inherently subjective and may vary based on source material quality, AI model behavior, processing parameters, and other factors beyond our control.

We make no warranties or representations regarding the accuracy, completeness, appropriateness, or fitness for purpose of AI extraction results. You are solely responsible for reviewing, validating, editing, and determining the suitability of extracted style information for your intended use. We are not liable for any consequences arising from your reliance on AI extraction results.

6. Acceptable Use and Prohibited Activities

You agree to use StyleRef only for lawful purposes and in accordance with these Terms. The following activities are expressly prohibited.

You may not violate any applicable laws, regulations, or third-party rights, including intellectual property rights, privacy rights, publicity rights, contractual rights, or other proprietary rights. You may not submit, upload, or process User Content that is illegal, fraudulent, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of privacy, hateful, or otherwise objectionable. You may not use StyleRef to create style references for content that infringes intellectual property rights, promotes illegal activities, facilitates fraud or deception, violates the terms of service of third-party AI platforms, or enables creation of harmful, misleading, or unlawful content.

You may not attempt to gain unauthorized access to StyleRef systems, networks, or data, interfere with or disrupt the integrity or performance of StyleRef or related systems, use automated systems, bots, or scrapers to access StyleRef in ways that exceed reasonable human usage patterns, or probe, scan, or test the vulnerability of our systems or networks.

You may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of StyleRef except to the extent such restriction is expressly prohibited by applicable law. You may not rent, lease, sell, sublicense, distribute, or otherwise transfer rights to access StyleRef. You may not frame, mirror, or create derivative works based on StyleRef or any portion thereof.

You may not misrepresent your identity, affiliation, or relationship with any person or entity, impersonate any person or entity, or falsely state or imply sponsorship or endorsement by StyleRef. You may not use StyleRef to collect, store, or process personal information about other individuals without their consent and in violation of applicable privacy laws.

You may not submit User Content containing malware, viruses, or other malicious code, or use StyleRef in any manner that could damage, disable, overburden, or impair our systems. You may not use StyleRef to compete with StyleRef or to develop competing products or services.

Enforcement and Remedies

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, which may include removing or disabling access to User Content, suspending or terminating user accounts with or without notice, reporting violations to law enforcement authorities when we believe illegal activity has occurred, and pursuing legal remedies including injunctive relief and recovery of costs.

We are not obligated to monitor User Content or user activity, but we reserve the right to do so to enforce these Terms, comply with legal obligations, or protect the rights and safety of StyleRef and our users.

7. Subscription Plans, Payments, and Refunds

StyleRef offers multiple subscription tiers with different features, storage limits, AI extraction allowances, and usage parameters. Current plan details, pricing, and feature comparisons are available on our website and within the platform. Plan features and pricing are subject to change as described in this section.

Billing and Payment Terms

If you subscribe to a paid plan, you authorize us to charge your designated payment method for all applicable subscription fees according to the billing frequency you selected at signup. Subscription fees are charged in advance on a recurring basis at the interval specified for your plan, either monthly or annually. All fees are in United States dollars unless otherwise specified at the time of purchase.

You are responsible for providing accurate and current payment information and for maintaining a valid payment method on file. If automatic payment fails, we will attempt to notify you and provide a grace period of up to fourteen days to update your payment information before suspending access to paid features.

All fees are exclusive of applicable taxes, duties, or other governmental charges. You are responsible for all such taxes except those based on StyleRef's net income. We will invoice applicable taxes separately where required by law.

Pricing Changes

We may modify subscription pricing at our discretion. Pricing changes for existing subscribers will be announced at least sixty days before the effective date through email notification and prominent notice within the platform. For existing subscribers, pricing changes take effect at the next renewal date following the notice period. Your continued subscription after a price change takes effect constitutes acceptance of the new pricing.

New pricing applies immediately to new subscribers and to existing subscribers who upgrade or change plans after the effective date of the pricing change.

Refund Policy

Subscription fees are generally non-refundable except as explicitly stated in this section or as required by applicable law. We do not provide refunds or credits for partial subscription periods, unused AI extraction credits, or account downgrades.

We will provide a full refund if you cancel within fourteen days of your initial subscription purchase. This fourteen-day refund period applies only to your first purchase and does not apply to renewals or plan changes.

We may provide discretionary refunds in cases of extended service outages, significant failure to deliver advertised features, billing errors, or other circumstances where we determine a refund is appropriate. Refund requests should be submitted through our support channels.

Account Suspension for Non-Payment

If payment for subscription fees is not received when due, we may suspend your access to paid features while maintaining read-only access to your User Content for up to thirty days. If payment is not received within thirty days, we may downgrade your account to a free tier plan, subject to that tier's storage and feature limitations. User Content exceeding free tier limits may be deleted after you have been provided with reasonable opportunity to export or delete content to comply with free tier limits.

8. Service Availability, Maintenance, and Modifications

Service Level Commitment

We strive to maintain reliable, consistent access to StyleRef. For paid subscribers, we target ninety-nine percent availability of core platform functionality, calculated on a monthly basis and excluding scheduled maintenance windows announced at least forty-eight hours in advance.

Availability calculations exclude downtime resulting from circumstances beyond our reasonable control, including force majeure events, internet service provider failures, denial of service attacks, or failures of third-party infrastructure providers. We are not liable for unavailability caused by your equipment, internet connection, or actions.

If we fail to meet the ninety-nine percent availability target for paid subscribers in any calendar month, affected subscribers may request a service credit equal to ten percent of their monthly subscription fee, calculated on a pro-rata basis for the downtime period. Service credits are your sole remedy for availability failures and must be requested within thirty days of the end of the month in which downtime occurred.

Maintenance and Service Interruptions

We may temporarily suspend access to StyleRef for scheduled maintenance, security updates, infrastructure improvements, or urgent repairs. We will provide at least forty-eight hours advance notice of scheduled maintenance through email and platform notifications whenever reasonably possible.

We may implement Maintenance Mode during certain operations, which restricts data modification capabilities while maintaining read-only access to existing User Content. Emergency maintenance addressing critical security issues or system failures may be performed with reduced notice or no advance notice when circumstances require immediate action.

Platform Modifications and Feature Changes

We reserve the right to modify, enhance, or discontinue features, functionality, or aspects of StyleRef at our discretion to improve the service, address technical requirements, or respond to changing business needs. We will provide at least ninety days advance notice before discontinuing material features that significantly impact core functionality.

Notice of material feature changes will be provided through email to your registered account address and through prominent notices within the platform. For discontinuation of core features, we will make reasonable efforts to provide alternative functionality or migration paths where feasible.

We are not obligated to maintain any specific feature, functionality, or integration indefinitely. Minor feature modifications, user interface improvements, and non-material changes may be implemented without advance notice.

Data Export and Business Continuity

You may export your User Content at any time through the data export functionality provided within StyleRef. We commit to maintaining data export capabilities for all User Content formats to ensure business continuity if you choose to migrate to alternative solutions.

In the event we decide to discontinue StyleRef entirely, we will provide at least one hundred eighty days advance notice and will maintain data export functionality throughout the notice period to allow you to retrieve your User Content.

9. Enterprise Accounts and Organizational Use

Organizations may use StyleRef under these standard Terms or may enter into separate Enterprise Agreements that modify or supplement these Terms. Enterprise Agreements take precedence over conflicting provisions in these standard Terms.

Organizational Accounts

When an organization creates an account or subscribes to StyleRef, the organization retains ownership and control over all User Content created by its employees, contractors, or authorized users in connection with their work for the organization, regardless of whether such users have individual accounts.

Organizations are responsible for obtaining all necessary consents and authorizations from their users, ensuring users have appropriate authority to access and use StyleRef on the organization's behalf, managing user access and permissions, monitoring user compliance with these Terms, and maintaining security of organizational account credentials.

Content Ownership and Control Rights

For organizational accounts, the organization owns all User Content created by users acting within the scope of their employment or engagement with the organization. The organization may request transfer of ownership of User Content from individual user accounts to organizational accounts when employment or engagement relationships end.

Organizations may submit requests to StyleRef to disable access to specific User Content, remove User Content from the platform, or transfer User Content between accounts when such requests are accompanied by reasonable documentation demonstrating the organization's ownership rights. We will process such requests within ten business days of receipt of adequate documentation.

Third-Party Beneficiary Rights

Organizations have third-party beneficiary rights to enforce these Terms against their own employees and contractors who use StyleRef in connection with work for the organization. This allows organizations to take legal action against users who violate these Terms while using StyleRef for organizational purposes.

10. Confidentiality and Unauthorized Access

You acknowledge that User Content submitted to StyleRef may include confidential, proprietary, or trade secret information. We will treat your User Content as confidential and will not disclose it to third parties except as permitted by these Terms and our Privacy Policy.

Reporting Unauthorized Content

If you become aware that your confidential information has been uploaded to StyleRef by someone without authorization, you may submit a confidential information takedown request through our designated reporting process. Requests must include identification of the confidential information, demonstration of your ownership or rights in the information, identification of the account or content containing the information if known, and contact information for follow-up.

We will investigate takedown requests and will disable access to or remove content that we determine has been uploaded without authorization. We may request additional documentation to verify ownership claims. We will process takedown requests within five business days of receipt of complete information.

Security Incident Notification

In the event of a security incident that results in unauthorized access to or disclosure of User Content, we will notify affected users within seventy-two hours of confirming the incident. Notification will include a description of the incident, the types of information involved, steps we are taking to address the incident, and recommended actions for affected users.

We maintain an incident response plan and conduct regular security assessments to identify and address vulnerabilities. Enterprise customers may request information about our security practices and incident response procedures.

11. Limitations on Competitor Use

To protect the confidential information and competitive interests of our users, we implement certain restrictions on use by direct competitors.

Organizations that we determine are direct competitors of existing enterprise customers may be prohibited from using StyleRef to analyze, extract, or process materials publicly associated with such enterprise customers. This restriction applies when we reasonably believe such use is intended to gain competitive intelligence rather than for legitimate style reference purposes.

We maintain customer confidentiality and do not disclose customer lists or usage patterns to other users. Support interactions, feature requests, and other customer communications are treated as confidential.

Users may not use StyleRef to systematically extract, analyze, or reverse engineer style patterns from multiple publicly available sources associated with competitors for the purpose of competitive intelligence gathering.

These restrictions do not prohibit analysis of publicly available materials for legitimate reference purposes, but are intended to prevent abuse of the platform for competitive intelligence that undermines user trust in the confidentiality of their use of StyleRef.

12. Warranties and Disclaimers

Limited Warranty

We warrant that StyleRef will perform substantially in accordance with the documentation and feature descriptions provided on our website and within the platform. This warranty applies only to paid subscriptions and is valid for thirty days from the date of each subscription payment. Your exclusive remedy for breach of this warranty is reperformance of the affected service or, at our option, refund of the fees paid for the affected service during the thirty-day warranty period.

Disclaimer of Other Warranties

Except for the limited warranty stated above, StyleRef is provided on an "as is" and "as available" basis. We expressly disclaim all other warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that StyleRef will meet your specific requirements or expectations, that AI extraction will be accurate, complete, or suitable for any particular purpose, that the service will be uninterrupted, timely, secure, or error-free, that defects or errors will be corrected, that StyleRef is free from viruses or other harmful components, or that results obtained from use of StyleRef will be reliable or accurate.

We do not warrant or guarantee the availability, performance, security, or data handling practices of third-party AI service providers used for extraction features. We are not responsible for third-party service failures or changes that affect StyleRef functionality.

Limitations on Implied Warranties

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of consumers. In such jurisdictions, the disclaimers and exclusions in this section apply only to the extent permitted by law, and you may have additional rights that cannot be waived by contract.

No advice or information, whether oral or written, obtained by you from StyleRef or through the service creates any warranty not expressly stated in these Terms.

13. Limitation of Liability

General Limitations

To the maximum extent permitted by applicable law, StyleRef, its affiliates, officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to your use of StyleRef, these Terms, or any subject matter of these Terms, regardless of the form of action and even if StyleRef has been advised of the possibility of such damages.

Types of damages excluded include, without limitation, lost profits or revenue, loss of business opportunity, loss of data or information, cost of substitute services or technology, business interruption, reputational harm, loss of goodwill, personal injury or property damage, and any other pecuniary loss.

These exclusions apply regardless of whether the claim is based on contract, tort, strict liability, negligence, warranty, statute, or any other legal theory.

Aggregate Liability Cap for Standard Accounts

Our total aggregate liability to individual users and small business accounts for all claims arising out of or relating to StyleRef or these Terms, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total amount you have paid to StyleRef in subscription fees during the twelve months immediately preceding the event giving rise to liability, or (b) one thousand dollars.

Aggregate Liability Cap for Enterprise Accounts

For enterprise customers with annual subscription values exceeding ten thousand dollars, the aggregate liability cap shall be the greater of (a) the total amount paid to StyleRef during the twelve months preceding the claim, or (b) one hundred thousand dollars, except as specified in the following subsection.

Exceptions to Liability Limitations

The limitations in this section do not apply to liability arising from our gross negligence or willful misconduct, breach of confidentiality obligations regarding User Content, our infringement of your intellectual property rights, death or bodily injury caused by our negligence, fraud or fraudulent misrepresentation, violations of law that cannot be limited by contract, or any other liability that cannot be excluded or limited under applicable law.

For data breaches resulting from our failure to implement reasonable security measures as described in our Privacy Policy and these Terms, our liability shall not be subject to the aggregate cap and shall include actual damages reasonably incurred, provided that we remain not liable for indirect, consequential, or punitive damages except where such exclusion is prohibited by law.

Allocation of Risk

You acknowledge that the fees charged by StyleRef reflect the allocation of risk set forth in these Terms, including the warranty disclaimers and liability limitations. These limitations are an essential basis of the bargain between you and StyleRef.

14. Indemnification

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless StyleRef, its affiliates, subsidiaries, officers, directors, employees, agents, suppliers, and licensors (collectively, "StyleRef Parties") from and against any and all third-party claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to your User Content or your use of that content, your use or misuse of StyleRef in violation of these Terms, your violation of any law, regulation, or third-party right, including intellectual property rights, privacy rights, or contractual rights, any negligent or wrongful conduct by you or anyone using your account, or any Downstream Outputs you create using StyleRefs generated through StyleRef.

Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense and settlement of such claim. You may not settle any claim subject to your indemnification obligation without our prior written consent. We will use reasonable efforts to provide you with notice of any such claim, action, or proceeding upon becoming aware of it.

Indemnification Process

If StyleRef seeks indemnification from you, we will provide prompt written notice of the claim, though failure to provide prompt notice will not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such delay. You will have the right to participate in the defense of any claim with counsel of your choice at your own expense.

Survival

Your indemnification obligations survive termination of these Terms and your use of StyleRef.

15. Termination and Account Closure

Termination by You

You may terminate your account and discontinue use of StyleRef at any time by following the account closure process within the platform settings or by contacting customer support. Upon account closure, your right to access and use StyleRef immediately ceases.

For paid subscriptions, termination does not entitle you to a refund of fees already paid except as provided in Section 7. Your subscription will remain active through the end of your current billing period unless you request immediate termination. Immediate termination results in forfeiture of any remaining subscription period.

Termination by StyleRef

We may suspend or terminate your account, with or without advance notice, if we reasonably believe you have materially violated these Terms, engaged in fraudulent, abusive, or illegal activity, failed to pay subscription fees when due, used StyleRef in a manner that creates security or legal risks for StyleRef or other users, or violated the intellectual property rights or other rights of third parties.

We will provide advance notice of termination when reasonably possible, but may terminate accounts immediately without notice when we determine that your conduct poses imminent risk of harm to StyleRef, our users, or third parties, or when required by law or court order.

Effect of Termination

Upon termination of your account for any reason, your right to access and use StyleRef immediately terminates. We will delete or anonymize your User Content from production systems within thirty business days following termination, except for User Content subject to legal holds, regulatory requirements, or backup retention as described in Section 4.

For organizational accounts, termination may be limited to individual users while maintaining the organizational account. Organizations may request export of User Content associated with terminated individual users for a period of thirty days following individual user termination.

Survival of Terms

Provisions of these Terms that by their nature should survive termination shall remain in effect after termination, including provisions relating to intellectual property ownership, licenses that have been granted, confidentiality obligations, disclaimers of warranties, limitations of liability, indemnification, dispute resolution, and any other provisions that must survive to fulfill their essential purpose.

16. Dispute Resolution

Informal Resolution Requirement

Before initiating formal legal proceedings, you agree to contact us through our designated support channels to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or StyleRef informally. We will attempt to resolve disputes through direct negotiation in good faith. Neither party may commence formal proceedings until thirty days after providing written notice of the dispute to the other party.

Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to these Terms or StyleRef shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

For disputes that cannot be resolved through informal negotiation, you and StyleRef consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for the resolution of any disputes, except where mandatory arbitration applies under an Enterprise Agreement or where small claims court jurisdiction is appropriate.

Consumer Rights Preservation

This choice of law and jurisdiction applies to the maximum extent permitted by law. If you are a consumer located in the European Union, European Economic Area, United Kingdom, or other jurisdiction with mandatory consumer protection laws, nothing in these Terms affects your statutory rights under those laws that cannot be waived by contract, and you may also have the right to bring proceedings in your country of residence.

17. Data Protection and Privacy

Your use of StyleRef is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal information and User Content.

Data Processing and Subprocessors

We process your personal information and User Content in accordance with applicable data protection laws, including the European Union General Data Protection Regulation and the California Consumer Privacy Act where applicable. We maintain a list of subprocessors who have access to personal information and User Content, which is available upon request and through our website.

We will provide notice of new subprocessors at least thirty days before they are granted access to personal information or User Content. Enterprise customers may object to new subprocessors if they do not meet the customer's security or compliance requirements.

Data Residency Options

For enterprise customers with data residency requirements, we offer optional data residency controls that allow you to specify the geographic regions where your User Content may be stored and processed. Available regions and associated fees are described in our enterprise pricing documentation. Data residency options must be configured at account creation and may incur additional costs.

Standard consumer and small business accounts do not include data residency controls, and User Content may be stored and processed in any region where StyleRef or our service providers operate infrastructure.

Data Subject Rights

You have certain rights regarding your personal information under applicable data protection laws, including rights to access, correct, delete, restrict processing, object to processing, and data portability. These rights are described in detail in our Privacy Policy. You may exercise these rights through the mechanisms provided in the Privacy Policy or by contacting our privacy team.

18. Audit Rights for Enterprise Customers

Enterprise customers with annual subscription values exceeding twenty-five thousand dollars may request documentation demonstrating StyleRef's compliance with security, confidentiality, and data protection obligations under these Terms.

Upon reasonable advance notice and no more than once per calendar year unless necessitated by a security incident, enterprise customers may conduct or designate a qualified third-party auditor to conduct an audit of our security controls, data handling practices, and compliance with our contractual obligations. Audits shall be conducted during normal business hours and in a manner that does not unreasonably disrupt our operations.

We may require execution of reasonable confidentiality agreements before providing access to audit materials. Audit costs are borne by the requesting customer unless the audit reveals material non-compliance with these Terms, in which case we will reimburse reasonable audit costs.

In lieu of customer-initiated audits, we may provide copies of our SOC 2 Type II reports or other independent security assessments that address the scope of the requested audit.

19. Export Control and Sanctions Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States embargo or that has been designated by the United States government as a terrorist-supporting country. You represent and warrant that you are not listed on any United States government list of prohibited or restricted parties.

You agree to comply with all applicable export control laws and regulations, including the Export Administration Regulations maintained by the United States Department of Commerce and trade sanctions programs administered by the Office of Foreign Assets Control. You will not use StyleRef in violation of any export restriction or embargo.

We reserve the right to suspend or terminate accounts and refuse service to users in jurisdictions where providing service would violate applicable export controls or trade sanctions.

20. General Provisions

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond that party's reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or labor disputes, failures of telecommunications or internet infrastructure, or failures of third-party service providers.

The affected party shall provide notice to the other party of the force majeure event and shall use reasonable efforts to minimize the impact and duration of the event. If a force majeure event continues for more than thirty consecutive days, either party may terminate the affected services upon written notice.

Assignment and Transfer

You may not assign, transfer, or delegate these Terms or your rights and obligations under these Terms without our prior written consent. Any attempted assignment without consent is void.

We may assign these Terms, in whole or in part, to any affiliate, subsidiary, successor entity, or party acquiring substantially all of our assets or business, whether through merger, acquisition, reorganization, or otherwise. We will provide notice of any assignment that materially affects your rights under these Terms.

Notices

All notices required or permitted under these Terms shall be provided by email to the email address associated with your account or displayed prominently within the StyleRef platform. You are responsible for maintaining a current email address. Notices to StyleRef should be sent to ... or through designated notice mechanisms within the platform.

Entire Agreement and Severability

These Terms, together with our Privacy Policy and any Enterprise Agreement you have entered into with StyleRef, constitute the entire agreement between you and StyleRef regarding StyleRef and supersede all prior agreements, representations, and warranties.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, shall be severed from these Terms.

Waiver

No waiver of any term or condition of these Terms shall constitute a waiver of any other term or condition. Our failure to enforce any right or provision will not be considered a waiver of those rights.
